SERVICE.
These Terms of Service ("Terms") govern your access to and use of Infinium's website at i42m.ai, the O2 Platform, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and capable of entering a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
Some features require an account. You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
3. Acceptable Use
When using the Services, you agree not to:
- Violate any applicable law, regulation, or third-party right.
- Reverse engineer, decompile, or attempt to extract source code of the Services.
- Interfere with or disrupt the integrity, performance, or security of the Services.
- Use the Services to build a competing product or benchmark against us without written consent.
- Upload malware, harmful content, or content that infringes or misappropriates the rights of others.
- Attempt to gain unauthorized access to any systems, accounts, or data.
4. Customer Data
You retain all rights to data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, maintain, and improve the Services, and as otherwise described in our Privacy Policy. You are responsible for ensuring you have the rights to submit Customer Data and that it complies with applicable law.
5. Fees and Payment
Paid features are billed according to the plan or order you select. Unless otherwise stated, fees are non-refundable. Taxes are your responsibility. We may change pricing with reasonable notice; continued use after a change constitutes acceptance of the new pricing.
6. Intellectual Property
The Services, including all software, content, designs, trademarks, and documentation, are owned by Infinium or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights other than the limited right to use the Services as permitted here.
7. Feedback
If you send us suggestions, feedback, or ideas about the Services, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
8. Third-Party Services
The Services may integrate with or link to third-party products. Those third parties are governed by their own terms, and we are not responsible for their content, policies, or practices.
9. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive.
10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, Infinium and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or related to the Services. Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) amounts paid by you to Infinium in the twelve months preceding the claim, or (b) one hundred U.S. dollars.
12. Indemnification
You agree to indemnify and hold Infinium harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Customer Data, or your violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The exclusive jurisdiction and venue for disputes will be the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date. Material changes will be communicated through the Services or by email where appropriate. Continued use after changes become effective constitutes acceptance.
